EA Bylaws
The EA Board of Directors recently convened a By-Laws Committee to review and make edits to the EA Constitution and By-Laws due to the need to update and clarify some of the document’s language. The Committee, comprised of Frank Dickey, John Foster, Paul Grazzini, Tina Landis, and Abby Young (while an EA member), reviewed and proposed edits to the full Board of Directors, which then approved the attached draft at the August 12 EA Board of Directors’ Meeting.
At the upcoming EA General Membership Meeting on Tues. Sept. 15, we will be presenting and discussing the proposed amendments (outlined below) to the EA Constitution and By-Laws. We will open a vote to accept or reject the amended Constitution and By-Laws by electronic vote immediately following the meeting.
Please review the changes and submit any questions or friendly amendments to the attached document to tlandis@baaqmd.gov. All the changes below can be found in the yellow highlighted sections in the document. You can find the current Constitution and By-Laws on the EA website, here, for comparison.
Outline of Edits to EA Constitution and By-Laws
Constitution, Article V (Page 5-6)
· Section A - Added – All officers are voting members
· Section B - Treasurer - Added Bonding and changed some language on countersigning checks and issuing checks in Treasurers absence
· Section C - Changed spending on Social Events and Items given out to Max of $10,000 for Fiscal Year (removed section limiting to 2 events), and charged other items to fiscal year accounting and insurance as an item for $2,500 yearly limit (Website, Phone, fax, )
By-Laws, Article III (Page 11)
· Adds 'Contract Negotiations' to list of topics that the Board may hold a “closed” Board Meeting.
By-Laws, Article IV (Page 12)
· Added Section F - Adds Specific language for voting on a new MOU - 15 days between announcement and deadline of voting. Announcement of vote can be done in 1) General Membership Meeting b) Special Meeting c) Approved Electronic Method; Language about submission of opinions and arguments for distribution to membership.
· Section G - Some clarifying changes to Proxy voting
By-Laws, Article V (Page 13)
· Section A - Same as changes to Constitution, Article V, Section C
· Section E - lifts cap of $50 for reimbursements to members for out of pocket expenses incurred on behalf of the EA.
· Added Section F – regarding Audits of Finances
